Platform Use and Eligibility

Platform Services

• The DTP Exchange platform provides various services to facilitate the transportation and logistics needs of its users, including but not limited to freight matching, booking, tracking, and payment processing.
• DTP Exchange does not act as a carrier or broker, but rather provides a digital platform for users to connect and conduct their own transportation and logistics operations.
• DTP Exchange is not responsible for the acts or omissions of any user, carrier, or other third party involved in the transportation of goods.

Fees and Payments

• Users may be required to pay fees for certain services provided by DTP Exchange, as outlined in our published fee schedule or as agreed upon during the registration or transaction process.
• All payments made through the DTP Exchange platform are subject to the terms and conditions of the selected payment processor.
• DTP Exchange reserves the right to modify its fee structure at any time, with reasonable notice provided to users.

Intellectual Property

• The DTP Exchange platform, including its content, design, and underlying technology, is the property of DTP Exchange and is protected by copyright, trademark, and other intellectual property laws.
• Users are granted a limited, non-exclusive, non-transferable license to use the DTP Exchange platform in accordance with these Terms. This license does not include the right to reproduce, distribute, or create derivative works of the platform.

User Conduct

• Users agree to use the DTP Exchange platform in a lawful and ethical manner, and to refrain from any activities that may disrupt or interfere with the platform’s operation or the experience of other users.
• Users are responsible for their own content, communications, and actions on the DTP Exchange platform, and agree to indemnify DTP Exchange for any claims or damages arising from such content, communications, or actions.

Disclaimer of Warranties

The DTP Exchange platform is provided “as is” and “as available,” without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

DTP Exchange does not guarantee the availability, accuracy, or reliability of the platform or the services provided through it.

Limitation of Liability

In no event shall DTP Exchange be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with the use of the DTP Exchange platform or the services provided through it.

The total liability of DTP Exchange to any user shall not exceed the amount of fees paid by the user to DTP Exchange during the 12-month period preceding the event giving rise to the claim.

Termination and Suspension

DTP Exchange reserves the right to suspend or terminate a user’s access to the platform at any time, for any reason, including but not limited to a user’s breach of these Terms or any applicable laws or regulations.

Users may also terminate their use of the DTP Exchange platform at any time by discontinuing their use of the platform.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of USA, without regard to its conflict of laws principles.

Any disputes arising out of or in connection with these Terms or the use of the DTP Exchange platform shall be resolved through binding arbitration in accordance with the rules of USA.

Miscellaneous

These Terms constitute the entire agreement between you and DTP Exchange with respect to the use of the DTP Exchange platform and supersede any prior agreements or understandings.

DTP Exchange reserves the right to modify these Terms at any time, with reasonable notice provided to users.

By using the DTP Exchange platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
